The agreement represents the responsibilities of both parties. It is imperative that the language and terms in distribution agreements, such as the names of the parties, the specific terms, the territories affected by the agreement, the products, the pricing and payment structure, the performance of the parties, warranties, delivery terms, antitrust compliance, and any restrictions, are clear and concise to avoid future conflicts and disputes.
